These terms govern your use of this website, including pages, forms, guides, resources, and other online materials made available by PorroVia.
1. Acceptance of terms
By accessing or using this website, you agree to be bound by these Terms of Use and the PorroVia Privacy Policy, which is incorporated by reference. If you do not agree to these terms, do not use the website.
If you are using this website on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and references to "you" include that organization.
2. Website information — no professional advice
The information on this website is provided for general informational purposes only. It describes PorroVia's mediation, facilitation, coaching, training, and conflict resolution services. Nothing on this website constitutes, creates, or should be relied upon as legal, HR, psychological, financial, regulatory, or other professional advice.
PorroVia is not a law firm and does not provide legal advice. Viewing this website or submitting an inquiry does not create a mediator-client, consultant-client, lawyer-client, advisory, fiduciary, or any other professional relationship. You should obtain independent advice from qualified professionals for your specific circumstances.
3. No engagement until confirmed in writing
Submitting a contact form, sending an email, booking a consultation call, or downloading a resource does not create a client engagement with PorroVia. No engagement, retainer, or advisory relationship exists until PorroVia has confirmed the engagement in writing and the applicable scope of work, fees, confidentiality terms, and process requirements have been expressly agreed between the parties.
4. Confidentiality limits for website communications
PorroVia treats all inquiries with discretion. However, information submitted through website contact forms or ordinary email is transmitted over networks that may not be fully secure or encrypted end-to-end. Do not submit information you consider highly confidential or legally privileged unless you are satisfied with the security of the transmission channel or have made other arrangements with PorroVia in advance.
Where PorroVia is formally engaged for mediation, facilitation, or related professional services, separate and more detailed confidentiality obligations will apply through a written engagement agreement.
5. Permitted use
You may use this website for lawful personal, professional, or organizational information-gathering purposes. You agree not to:
- Use the website in any manner that violates applicable law or infringes the rights of PorroVia or any third party.
- Attempt to gain unauthorized access to, interfere with, damage, disable, overburden, or impair the website, its hosting infrastructure, forms, or any connected system.
- Submit content that is false, misleading, defamatory, unlawful, harmful, threatening, harassing, or malicious.
- Scrape, crawl, copy, or systematically extract content from the website by automated or manual means without written permission.
- Reproduce, adapt, redistribute, or publish website materials — including guides, service descriptions, or resources — without prior written consent.
- Use any PorroVia name, mark, logo, or content in a manner that implies endorsement, partnership, or affiliation without written authorization.
6. Intellectual property and trademarks
The website design, layout, text, graphics, guides, downloadable resources, service descriptions, methodology content, and all other materials are the property of Quality Integrated Technologies and Systems Inc. (QuinTechSys) or its licensors and are protected by applicable Canadian and international intellectual property laws.
Dynamic Mediation™ and Dynamic Canvas™ are trademarks of Quality Integrated Technologies and Systems Inc. (QuinTechSys) Unauthorized use of these marks or any confusingly similar name, term, or logo is prohibited.
You may download resources expressly made available for download for your own personal or internal organizational reference. You may not resell, sublicense, modify, redistribute, or present PorroVia materials as your own work without prior written permission.
7. Third-party links and tools
This website may contain links to or integrations with third-party websites, services, apps, scheduling tools, form processors, or resources. These links are provided for convenience only. PorroVia does not control, endorse, or assume responsibility for any third-party content, availability, accuracy, privacy practices, security measures, or terms of use. Your use of third-party services is at your own risk and subject to those parties' terms.
8. No warranties
To the fullest extent permitted by applicable law, the website and all content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including without limitation any implied warranty of merchantability, fitness for a particular purpose, non-infringement, title, or accuracy. PorroVia does not warrant that the website will be uninterrupted, timely, error-free, virus-free, secure, complete, or current. Website content may not reflect the most current legal, professional, or industry standards.
Nothing in this section excludes or limits any warranty, condition, or right that cannot be excluded or limited under the Consumer Protection Act, 2002 (Ontario) or other applicable law. Where such statutory protections apply, PorroVia's liability is limited to the minimum required by law.
9. Limitation of liability
To the fullest extent permitted by applicable law, PorroVia, and its owners, directors, officers, employees, affiliates, contractors, licensors, and service providers ("PorroVia Parties") will not be liable for any:
- Direct, indirect, incidental, special, consequential, exemplary, or punitive damages;
- Loss of revenue, profits, data, goodwill, or business opportunity;
- Damages arising from unauthorized access to or alteration of your transmissions or data;
- Damages arising from your reliance on website content or information;
whether based in contract, tort (including negligence), statute, or any other legal or equitable theory, arising out of or in connection with your access to, use of, or inability to use this website or its content — even if a PorroVia Party has been advised of the possibility of such damages.
Nothing in this section excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under the Consumer Protection Act, 2002 (Ontario) or other applicable law.
Where applicable law does not allow the full exclusion or limitation of certain damages, PorroVia's total aggregate liability to you for all claims arising out of or in connection with your use of this website shall not exceed the greater of: (a) CAD $500; or (b) the total fees, if any, paid by you to PorroVia in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless the PorroVia Parties from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms of Use; (b) your violation of any applicable law or the rights of any third party; or (c) any content or information you submit through the website that is false, misleading, defamatory, or unlawful. This indemnification obligation does not apply to the extent that a claim arises from PorroVia's own negligence, wilful misconduct, or breach of these terms.
11. Governing law and dispute resolution
These Terms of Use and any dispute arising from them or from your use of the website are governed exclusively by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.
Informal resolution. Before initiating any formal proceeding, the parties agree to first attempt to resolve any dispute arising out of or relating to these terms through good-faith discussion. Either party may initiate this process by sending written notice to the other party describing the dispute. The parties will have thirty (30) days from the date of such notice to resolve the dispute informally.
Mediation. If the dispute is not resolved through informal discussion, the parties agree to attempt in good faith to resolve the dispute through mediation administered by a mutually agreed-upon mediator in Ontario before commencing any court proceeding. Each party shall bear its own costs of mediation, and the parties shall share equally the mediator's fees.
Litigation. If the dispute is not resolved through mediation within sixty (60) days of the initial written notice, either party may bring a legal action or proceeding exclusively in the courts of competent jurisdiction in the Province of Ontario, and you irrevocably consent to such jurisdiction and venue. Nothing in these terms limits PorroVia's ability to seek injunctive or other equitable relief in any jurisdiction at any time.
12. Changes to these terms
PorroVia may update these Terms of Use from time to time. The updated version will be posted on this page with a revised effective date. Where we make material changes, we will note them prominently on this page and, where feasible, provide notice through other reasonable means (such as email or a website banner) at least fifteen (15) days before the changes take effect. Your continued use of the website after the effective date of updated terms constitutes acceptance of those terms. If you do not agree to updated terms, you should discontinue use of the website.
13. Accessibility
PorroVia is committed to providing a website that is accessible to the widest possible audience, in accordance with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA) and the Integrated Accessibility Standards Regulation (O. Reg. 191/11). We aim to conform to the Web Content Accessibility Guidelines (WCAG) 2.0 Level AA.

14. Electronic commerce
In accordance with the Electronic Commerce Act, 2000 (Ontario), these Terms of Use and the Privacy Policy are provided in electronic form. You may print, download, or save a copy of these documents for your records. If you require these terms in an alternative format, please contact us at ask@porrovia.com.
15. General
Entire agreement. These Terms of Use and the Privacy Policy constitute the entire agreement between you and PorroVia with respect to your use of this website and supersede all prior communications or agreements on that subject.
Severability. If any provision of these terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
No waiver. PorroVia's failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of PorroVia.
No assignment. You may not assign or transfer any rights or obligations under these terms without PorroVia's prior written consent.
